Terms of Service

1. Acceptance of Terms

By installing, accessing, or using Columnly — the Google Sheets add-on and/or the Columnly Web App (together, "Columnly", "the Service") — you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Columnly is an AI analyst offered as two products:

• A · Google Sheets add-on AI-powered spreadsheet assistance in the sidebar — formula generation, data cleaning, dashboard and brief creation, restructuring, and formatting — processing the sheet you have open.
• B · Columnly Web App A standalone application where you create an organization, upload files or connect a CRM (HubSpot / Pipedrive, read-only), and build verified dashboards and briefs that persist, stay re-sliceable, and can refresh on a schedule (Autopilot).

3. Eligibility & Accounts

You must be at least 13 years old and, for the add-on, have a valid Google account. For the web app, signing up creates an organization for which you are the Owner; you are responsible for your account credentials, for the members you invite, and for the roles and credit allocations you assign. One email address belongs to exactly one workspace.

4. User Responsibilities

You agree to:

• Use Columnly only for lawful purposes and in accordance with these Terms.
• Only connect or upload data you have the right to access and process.
• Not reverse engineer, decompile, or extract source code from the Service.
• Not attempt to circumvent rate limits, access controls, tenant isolation, or other security measures.
• Not use the Service in a way that could damage, disable, or impair it or interfere with other users.

5. Data Handling

A · Google Sheets add-on

• Columnly accesses only the spreadsheet you are currently working in — its schema, the rows needed for an operation, and your Google email for rate limiting.
• It does not access other files in your Google Drive, Gmail, Contacts, Calendar, or any other Google service.
• Requests are processed synchronously; spreadsheet contents are not stored at rest. Any change to your sheet can be reversed with undo. Dashboards and briefs are generated as hosted HTML artifacts, not written into your sheet.

B · Columnly Web App

• To keep analyses live, the web app persists your uploaded and ingested data in a per-organization database hosted in the European Union.
• CRM connections are read-only — Columnly cannot write back to HubSpot or Pipedrive.
• You retain all rights to your data; you may disconnect a source, retain a frozen snapshot, or delete ingested data, and you may delete your organization.

6. Intellectual Property

The Columnly applications, backend, documentation, and all related intellectual property are owned by Columnly; these Terms grant you no rights to our trademarks or branding. You retain all rights to your own data, and to the output Columnly generates from it (formulas, dashboards, briefs, cleaning results). Columnly does not claim ownership of your data.

7. Service Availability

We strive for high availability, but the Service is provided on an "as is" and "as available" basis; we do not guarantee uninterrupted or error-free operation. We may suspend the Service for maintenance or operational reasons and will endeavor to give notice of planned downtime. Features may be added, modified, or removed over time.

11. Indemnification

You agree to indemnify and hold harmless Columnly and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any third-party rights, or any data you process through the Service.

12. Subscriptions, Fees, and Refunds

• Paid plans: Columnly offers paid subscription plans; the features and price of each are described at the point of purchase. When you subscribe, you agree to pay the applicable fees.
• Free access & trials: Any free tier or trial, if offered, is described at sign-up. If a trial converts to a paid subscription, your payment method will be charged for the plan you selected unless you cancel before the trial ends.
• Automatic renewal: Paid subscriptions renew automatically at the end of each billing period at the then-current price unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method for each renewal.
• Cancellation: You may cancel at any time; cancellation stops future renewals and you keep access to paid features until the end of your current period.
• Refunds: Except as stated here, fees are non-refundable. On an upgrade (higher tier, or monthly to annual), the unused portion of your current subscription is pro-rated and credited toward the upgrade. Downgrades take effect at the end of the current period and are not refunded.
• Payment processing: Payments are processed by Razorpay. By subscribing, you authorize Columnly and Razorpay to charge your payment method. Columnly does not store full card details.
• Price changes & taxes: We may change prices with prior notice, applying to future billing periods. Stated prices may exclude applicable taxes, which are your responsibility.
• Failed payments: If a payment fails, we may suspend or terminate access to paid features until the outstanding amount is paid.

13. Termination

You may stop using the add-on at any time by uninstalling it, and stop using the web app by deleting your organization. We may suspend or terminate access for violation of these Terms, abuse, or discontinuation of the Service. Upon termination your right to use the Service ceases; data already written to your spreadsheets remains yours, and you may request export or deletion of web-app data as described in the Privacy Policy.

14. Changes to Terms

We may modify these Terms and will revise the "Last updated" date above. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland and the European Union, without regard to conflict-of-law provisions. All personal data processed through the Service is hosted within the European Union (Google Cloud in Belgium; our database in Ireland), and we process it in accordance with the EU General Data Protection Regulation (GDPR). Disputes arising under these Terms are subject to the courts of Ireland.

16. Miscellaneous

• Entire agreement: These Terms and the Privacy Policy are the entire agreement between you and Columnly regarding the Service.
• Severability: If any provision is unenforceable, the rest remain in effect.
• Waiver: Failure to enforce a provision is not a waiver of it.
• Assignment: You may not assign these Terms without our consent; we may assign them without restriction.
